"Service" refers to the software-as-a-service platform operated by us, accessible via our website and associated APIs. "Customer" means the business entity that has entered into a subscription agreement with us. "Users" means the individual employees or contractors authorised by the Customer to access the Service. "Data" means any information, files, or content submitted to the Service by the Customer or its Users.
Subject to the terms herein and timely payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term. Customers are responsible for ensuring Users comply with these Terms and for all activity occurring under their account. Account credentials must not be shared outside the Customer's organisation.
Subscription fees are invoiced in advance on a monthly or annual basis, as agreed at the time of purchase. All fees are exclusive of applicable taxes. Invoices are due within 30 days of issue. We reserve the right to suspend access where invoices remain unpaid beyond this period, following written notice. Subscription upgrades take effect immediately; downgrades take effect at the next renewal date.
We retain all rights, title, and interest in and to the Service, including all underlying software, algorithms, interfaces, and documentation. Nothing in these terms transfers ownership of the Service to the Customer. The Customer retains full ownership of all Data submitted to the Service. By using the Service, the Customer grants us a limited licence to process Data solely for the purpose of delivering the Service.
Both parties agree to comply with applicable data protection legislation. Where we process personal data on behalf of the Customer, we do so as a data processor under the Customer's instructions. A Data Processing Agreement is available upon request and may be required depending on jurisdiction. We implement appropriate technical and organisational measures to protect Data against unauthorised access, loss, or disclosure.
Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with the Service. This obligation survives termination of the agreement. Neither party shall disclose the other's confidential information to third parties without prior written consent, except as required by law.
The Customer agrees not to use the Service to: (i) violate any applicable law or regulation; (ii) transmit unlawful, harmful, or fraudulent content; (iii) attempt to gain unauthorised access to systems or networks; (iv) reverse engineer or decompile the Service; or (v) resell or sublicense access to the Service without prior written consent.
We aim to maintain Service availability of 99.5% measured monthly, excluding scheduled maintenance windows. Support is provided during business hours via the channels specified in your subscription plan. Planned maintenance will be communicated with reasonable notice wherever possible. Service Level Agreements (SLAs) may be detailed in a separate Order Form or Schedule.
To the fullest extent permitted by law, our total aggregate liability to the Customer shall not exceed the fees paid in the 12 months preceding the claim. We shall not be liable for indirect, incidental, or consequential losses, including loss of revenue, data, or business opportunities, whether arising in contract, tort, or otherwise.
Either party may terminate the agreement with 30 days' written notice at the end of a subscription period. We may terminate or suspend access immediately upon material breach of these terms, including non-payment. Upon termination, the Customer may export their Data within 30 days, after which we reserve the right to delete it. No refunds are issued for unused portions of prepaid subscription periods.
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
